Free Web Site Enhancements
--------------------------
The following specifies the terms under which
Q Network will provide your company with the
various Web site enhancement services
selected on this form.
Q Network refers to A Lasting Impression Corp., a
California Corporation. "Web site enhancements"
refers to all internet enhancement services
provided by Q Network, including, but not limited to,
live chat rooms, postcards, news, email, and
other Web services. "Company" refers to all
companies and Web sites listed on this form.
"Home page" refers to the first page seen when
someone visits the URL most frequently promoted
for each Web site.
Q Network will undertake to provide Company with the
services described herein within thirty days of the
date this form is received and approved by Q Network.
Q Network will operate Web site enhancements from
Q Network's servers and shall include logo graphics
of Company, displayed in gif format, of appropriate
pixel and file sizes, within such site enhancements.
Q Network may transmit any graphics and text required
by Q Network within Web site enhancement areas and in
e-mail messages to site users for promotion,
advertising, or any other purpose.
All content and services provided by Q Network, and
all registered user databases associated with site
enhancements are the exclusive property of Q Network.
Q Network will provide Company with custom html code
to link Company's custom Web site enhancements into
Company's Web site home page. The html code provided
by Q Network will display graphic links to Company's
enhanced Web site areas. Company agrees to keep all
links to requested Web site enhancements in place on
home page for the duration of this Agreement.
Company acknowledges that due to the variability of
the Internet and computer networks, any of Company's
internet services provided by Q Network may be subject
to down times. Company agrees to indemnify, defend
and hold harmless Q Network from and against any claims
relating to (i) down times, loss of data or computer
files, or network/server performance, or (ii) any
claim that any material posted on Company's Web site
or in Company's chat rooms by any person or organization
other than Q Network violates any laws or infringes any
rights of a third party. This Agreement shall be binding
upon and shall inure to the benefit of the parties hereto
and their respective successors, assigns, heirs and
personal representatives. Company shall not be entitled
to any revenue whatsoever that Q Network may receive from
ads or sponsorships sold in Web site enhancement areas
provided by Q Network.
Q Network may assign, in whole or in part, this Agreement
or its rights and obligations under it to any third
party. Q Network may terminate this agreement at any
time with thirty days notice. No amendments or additions
to this Agreement shall be binding unless in writing and
signed by both parties. Q Network shall be the exclusive
provider of portal services linked to Company's home page
including, but not limited to, being the exclusive provider
of live chat, postcards, free email, and search engine
services. This Agreement shall run for 12 months from the
date it is submitted. After the term of this Agreement
has expired, it shall automatically renew for 12 month
periods unless Company sends to Q Network by certified
mail notice to cancel within 30 days of the
expiration date of this Agreement.
Upon termination of this Agreement for any reason,
Q Network may continue to host services for Company;
however, company will no longer be obligated to link
to Q Network services. This Agreement constitutes the
entire agreement and supersedes all prior communications
between the parties.

SIGNED BY YOU WHEN YOU SUBMIT YOUR REQUEST
ON THE WEB, BY EMAIL, OR BY FAX.
